1. Who we are

Needed.co.nz ("we", "us", "our") is operated by Adverb Limited. NZBN: 9429050965878 Address: 4 Ash Street, Christchurch Central City, Christchurch 8011, New Zealand.

2. What Needed does

Needed helps Customers send a service request. We notify up to three relevant Professionals. Professionals choose whether to contact the Customer.

We are not a party to any agreement between a Customer and a Professional.

3. Agreement to these Terms

By submitting a Request, creating an account, or otherwise using the Platform, you agree to these Terms, our Privacy Policy, and (for Professionals) the Credit Refund Policy (available at https://needed.co.nz/credit-refund-policy). If you do not agree, do not use Needed.

4. Key definitions

"Customer" means a person requesting services. "Professional" means a person or business offering services. "Request" means a Customer's submission describing a job. "Credits" means prepaid units Professionals use to unlock contact details. "Platform" means our website, services, and related features.

5. Eligibility

You must be at least 18 years old to use Needed. By using the Platform, you confirm that you meet this requirement.

6. Accounts

Customers You do not need an account to submit a Request. You may create an account after submitting to manage Requests.

Professionals You may need an account to respond to Requests and manage Credits.

You must provide accurate information and keep it up to date.

7. How contact works

Professionals pay Credits to contact Customers. Once a Professional uses Credits to unlock contact details, contact happens outside Needed (phone/text). We currently do not provide in-platform messaging between Customers and Professionals.

8. Response cap

We aim to limit each Request to up to three Professional responses. We can change how matching and caps work at any time.

We do not guarantee that a Request will receive any responses.

9. Fees and Credits (Professionals)

Customers use Needed free of charge. Professionals buy Credits and use them when contacting Customers. Credit prices and usage rules may change. We will update pages that describe pricing.

Credits do not have a time-based expiry period. However, Credits may be forfeited upon account termination as described in section 22.

If we introduce a Credit expiry period in future, we will provide advance notice and update these Terms before that change takes effect.

10. Credit refunds

Credits are generally non-refundable except where a refund applies under our Credit Refund Policy (available at https://needed.co.nz/credit-refund-policy). The Credit Refund Policy forms part of these Terms.

11. Reviews and verification

We do not display public reviews on Professional profiles at launch. We do not provide verification badges at launch. We may introduce these features later, with updated terms as needed.

12. Your responsibilities

You agree not to:

•

post false, misleading, unlawful, or harmful Requests or listings

•

impersonate others or submit Requests for someone else without permission

•

harvest contact details or use Needed for spam

•

attempt to bypass Credit charging when initially contacting Customers, or bypass response caps or matching

•

interfere with the Platform (including scraping or reverse engineering) unless permitted by law

You are responsible for:

•

assessing suitability, qualifications, insurance, licences, and safety

•

your dealings and contracts with other users

•

complying with all laws that apply to you and your services

13. Professional obligations

Professionals are responsible for:

•

pricing, quotes, availability, delivery, and service quality

•

meeting licensing, compliance, and tax requirements

•

handling complaints, warranties, and refunds for their own services

14. Content you submit

You grant us a worldwide, non-exclusive licence to host, store, reproduce, display, and promote content you submit, as needed to operate, improve, and promote the Platform.

You confirm you have the rights to submit that content.

15. Availability and changes

We may change, suspend, or stop any part of the Platform at any time. We may run tests that affect matching, visibility, pricing, and workflows.

16. Changes to these Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page.

For material changes that affect your rights or obligations, we will provide proactive notice (for example by email or a prominent in-Platform notice) at least 14 days before the change takes effect.

Material changes include, but are not limited to, changes to pricing or Credit terms, refund policies, user obligations, liability limitations, or dispute resolution procedures.

For non-material changes, it is your responsibility to check the "Last updated" date periodically. Your continued use of Needed after changes take effect constitutes acceptance of the updated Terms.

17. Disclaimers

To the fullest extent allowed by law:

•

We do not guarantee response times, job outcomes, or service quality.

•

We do not guarantee that Professionals are available, suitable, or qualified.

•

You use Needed at your own risk.

18. Limitation of liability

To the fullest extent allowed by law, we are not liable for:

•

any loss from interactions or contracts between Customers and Professionals

•

indirect or consequential loss, loss of profit, loss of data, or loss of goodwill

•

service issues, cancellations, no-shows, or disputes between users

If we are liable where law does not allow exclusion, our liability is limited to the greater of:

•

NZD $100, or

•

the total fees you paid us in the 3 months before the event giving rise to the claim (if any)

19. Consumer law

Nothing in these Terms limits or excludes any rights that cannot be excluded or limited under the Consumer Guarantees Act 1993, the Fair Trading Act 1986, or any other applicable New Zealand law.

20. Indemnity

You agree to indemnify us against claims arising from:

•

your breach of these Terms

•

your content or conduct

•

your services or dealings with other users

21. Dispute resolution

If you have a dispute relating to Needed, we encourage you to contact support@needed.co.nz before taking formal action so we can attempt to resolve the matter.

22. Termination

We may suspend or terminate access if we believe you:

•

breached these Terms

•

used the Platform in a harmful, fraudulent, or unlawful way

•

created risk to users or to us

If your account is terminated for serious misconduct (fraud, illegal activity, or repeated material breaches after written warning), unused Credits in your account are forfeited. For all other terminations (including single breaches, account closure at our discretion, or voluntary closure), unused Credits will be refunded to your original payment method based on the unused Credit balance at the original per-Credit purchase price paid by you.

If you believe Credits were forfeited in error, you may contest the forfeiture by emailing support@needed.co.nz within 30 days of termination. Credits will be held pending our review if you contest within this period. We will review the circumstances and provide a final decision within 14 business days of receiving your contest. If no contest is received within 30 days, the forfeiture will be finalized.

23. Governing law

These Terms are governed by the laws of New Zealand. You agree to the non-exclusive jurisdiction of New Zealand courts.
